Welcome to SmartEarn Limited (“SmartEarn,” “we,” “our,” or “us”). By accessing or using our

platform, you acknowledge that you have read, understood, and agree to be bound by the

following terms, conditions, and regulations. These Terms and Conditions govern your use of

our platform, including the partnership, purchase, learning and promotion of digital

offers/products.

1.1 Acceptance of Terms:

By accessing, engaging with, or utilizing any feature or service offered on the SmartEarn

platform, whether as a consultant/expert, vendor, affiliate, or user, you confirm that you have

read, understood, and agreed to be bound by these Terms and Conditions in full. Your

continued use of the platform indicates your acceptance. If you do not agree with any

provision, you must immediately discontinue use of our services and refrain from further

engagement with the platform.

1.2 Revision of Terms and Updates

SmartEarn reserves the right to amend, revise, or update these Terms and Conditions at any

time. Significant changes will be communicated to users via prominent notices on the

platform and, where possible, via email or direct notifications. It is your responsibility to

review these Terms periodically. Continued use of the platform after the posting of revised

terms indicates your acceptance and agreement to be bound by the updated terms. In the

event of substantial changes, you may be required to provide explicit consent.

1.3 Eligibility

By using our platform, you affirm that you are at least 18 years old and able to utilize tech

devices. If you are under 18 but at least 15 years old, you may use the platform with the

consent of a parent or guardian. Users who do not meet these age requirements must

refrain from using the platform.

2.1 Product Purchase

As a user on the SmartEarn platform, you are granted access to our variety of digital

products to browse, select, and purchase in order to help you solve any desired problem.

Also you have the opportunity to learn any digital skills of your choice or business from our

Skills Garage and Business University.

We are committed to ensuring a fair and transparent platform for all users. By using the

platform, you agree to comply with all relevant laws and regulations. SmartEarn reserves the

right to manage and regulate the marketplace, skills Garage and the business university in

accordance with our Terms and Conditions.

2.2 Non-Resale Rights

Products purchased on the SmartEarn platform are for your personal use only. You are

prohibited from reselling, altering, or repurposing any purchased product unless explicitly

authorized by the product creator or vendor. Unauthorized resale or modification of products

will be considered a breach of these Terms and Conditions and may result in immediate

suspension or termination of your account, as well as potential legal action to seek remedies

for any damages incurred.

2.3 Money-Back Guarantee

Due to the nature of digital products and services offered on SmartEarn, we generally do not

provide refunds once a product has been purchased and delivered. However, we are

committed to customer satisfaction. If a product is defective, incomplete, or not as described,

buyers have the right to file a complaint within 30 days of purchase. We will review your

complaint and may, at our discretion, offer a resolution, which could include a replacement or

refund, depending on the circumstances. It is the buyer’s responsibility to review product

details carefully before making a purchase.

2.4 Personal Liability

You are solely responsible for safeguarding the confidentiality of your account credentials.

You agree to assume full responsibility for all activities conducted under your account.

SmartEarn disclaims any liability for losses or damages resulting from your failure to secure

your account information. It is your obligation to notify us immediately of any unauthorized

use or suspected breach of your account.

  1. Affiliate Responsibilities and Obligations

3.1 Access to Marketplace

Affiliates must pay a subscription fee of ₦5000 (or its equivalent in affiliate’s currency ) per

year to gain access to the SmartEarn marketplace. Without this payment, affiliates will not be

able to access the platform.

This marketplace is where all of SmartEarn digital products are made available for affiliate

partners to recommend.

3.2 Affiliate Benefits

As an affiliate, you will have access to a variety of digital products, promotional tools, and

support designed to help you succeed. In addition to standard sales commissions, you may

also earn additional bonuses based on performance and sales achievements.

3.3 Personal Liability

Affiliates are responsible for protecting the confidentiality of their account credentials. You

are accountable for all activities conducted under your account. SmartEarn is not liable for

any loss or damage resulting from your failure to maintain account security.

3.4 Payment Process

Affiliates will receive payments based on their earned sales commissions. Payments will be

made via bank transfer in local currency, and momo to international affiliates partners.

3.5 Confidentiality

Affiliates must uphold the privacy and confidentiality of all information received or created in

connection with their role, including customer and user data.

3.6 Compliance with Regulations

Affiliates must adhere to local and international regulations, including but not limited to the

Federal Competition and Consumer Protection Act (FCCPA), the Nigerian Data Protection

Regulation (NDPR), and rules on advertising, testimonials, and earnings claims. All

promotional communications must include a functional unsubscribe link and must not contain

misleading or deceptive content.

3.7 Miscellaneous

Affiliates may qualify for additional bonuses based on performance metrics, goals achieved,

or other criteria established by SmartEarn. Technical training and additional resources may

also be provided to support affiliate success.

  1. Vendor/Creator Responsibilities and Obligations

4.1 Payment Process

Creators (Vendors, skills and business experts) on the SmartEarn platform will receive

payments via bank transfer to a valid bank account registered in their name. All payments

will be processed in accordance with our payment schedule and terms. It is the creator’s

responsibility to ensure the accuracy of their banking information to avoid delays in payment.

4.2 Commission Percentage Policy

Vendors are responsible for setting the commission percentage for affiliates promoting their

products. While SmartEarn encourages vendors to offer reasonable and competitive

commissions to incentivize affiliate promotion, vendors must ensure that the commission

structure aligns with their overall business strategy.

4.3 Intermediary Role

SmartEarn serves as an intermediary platform, facilitating interactions between Creators

(problem solvers) and customers (Solution seekers). We provide a marketplace for expert

creators to list their digital products and enable potential customers to discover and

purchase them.

Also we make the Skills Garage and business university available for customers to enroll

and learn from top experts skill that will improve themselves.

However, SmartEarn does not take ownership of the products sold and is not responsible for

the content or quality of the listed products.

4.4 Confidentiality

Creators must maintain the confidentiality of all sensitive information, including customer and

user data, that they receive or have access to through the SmartEarn platform. Any breach

of confidentiality will be considered a violation of these Terms and Conditions and may result

in penalties, including suspension from the platform.

4.5 Personal Liability

Creators are responsible for safeguarding their account credentials and ensuring that all

activities conducted under their account are authorized. Any unauthorized access or misuse

of the accountwill be the sole responsibility of the vendor. SmartEarn disclaims liability for

any losses arising from the vendor’s failure to secure their account.

4.6 Compliance

Creators are required to adhere to all platform standards and legal requirements concerning

the products they list. Failure to comply with SmartEarn’s policies or legal obligations may

lead to the disapproval or removal of product listings, account suspension, or other

corrective actions.

5.1 Prohibited Conduct

Users must refrain from engaging in any actions that violate applicable laws, infringe on the

rights of others, finance laundering or disrupt the normal operation of the SmartEarn

platform. Any attempt to manipulate, misuse, or exploit the platform or its services will not be

tolerated.

5.2 Intellectual Property Rights

5.2.1 Ownership of SmartEarn IP

All content and materials on the SmartEarn platform, including logos, designs, text, graphics,

software, and proprietary tools, are the intellectual property of SmartEarn or its licensors.

You may not use, reproduce, modify, or distribute any content without our prior written

consent. Unauthorized use of SmartEarn’s intellectual property will result in immediate

termination of your account and may lead to legal action.

5.2.2 Creator Content and IP

By uploading or creating digital products, skills/business trainings on the SmartEarn

platform, you (the vendor) retain all intellectual property rights to the content unless explicitly

transferred through a separate agreement. However, by uploading content, you grant

SmartEarn a non-exclusive, royalty-free, worldwide license to display, distribute, and

promote your offer(s)/products as part of our services. Creators warrant that they own or

have the necessary rights to upload and distribute their content. In the event of a dispute

regarding the ownership of intellectual property, SmartEarn may remove the content in

question until the dispute is resolved.

5.3 Account Termination

SmartEarn reserves the right to suspend or terminate user accounts at its sole discretion.

This may occur for reasons including but not limited to breaches of these Terms and

Conditions, unlawful conduct, or any activity deemed harmful to the platform or its users.

5.4 Limitation of Liability

SmartEarn shall not be held responsible for any direct, indirect, incidental, or consequential

losses or damages that arise from your use of the platform. This includes, but is not limited

to, issues stemming from third-party content or products provided through the platform. Your

use of SmartEarn is at your own risk, and we recommend exercising caution when

interacting with third-party services.

5.5 Data Privacy & Security

SmartEarn is committed to protecting the personal data of users in compliance with the

Nigeria Data Protection Regulation (NDPR) and applicable international data protection

laws. By using our platform, you consent to the collection, use, and processing of your

personal data in accordance with our Privacy Policy.

5.6 Non-Disparagement

5.6.1 For All Users

By using the SmartEarn platform, you agree not to engage in conduct, whether public or

private, that defames or harms the reputation of SmartEarn, its partners (creators &

affiliates), employees, customers or other users. This includes refraining from posting

negative comments, reviews, or statements on social media or public forums unless they are

factual and pertain to a legitimate issue that has been addressed with SmartEarn through

proper dispute resolution. Failure to comply with this clause may result in account

suspension, content removal, or legal action.

5.6.2 Creator and Affiliate-Specific Non-Disparagement:

Creators and affiliates must ensure that all representations about SmartEarn or any products

promoted are accurate and not misleading. Any disputes should be addressed through the

platform’s dispute resolution process before making public statements.

5.6.3 Legal Recourse for Breach:

SmartEarn reserves the right to terminate your account and seek legal remedies, including

claims for defamation, damages, or injunctive relief, for breaches of this clause.

5.6.4 Dispute Resolution and Non-Disparagement

In the event of a dispute, users agree to first notify SmartEarn and engage in good faith

efforts to resolve the issue amicably. Only if such efforts fail will users be permitted to make

any public or disparaging statements, provided those statements are factually accurate and

made in compliance with applicable laws.

These Terms and Conditions shall be governed and construed in accordance with the laws

of Nigeria, without regard to its conflict of law principles.
